These Terms of Use (“Terms”) govern your access to and use of EZBZ Rentals, Inc. (“we,” “us,” “our”) services, including the website [ezbzrentals.com] and associated software (the "Platform"). By using the Platform, you agree to these Terms and our Privacy Policy.

1. Definitions

Account: Your user registration, including login credentials.
Host or Property Manager: A user listing properties.
Guest: A person making a booking via the Platform.
Content: All text, images, data, documentation, and property information you upload.
OTAs: External booking platforms (e.g., Airbnb, Booking.com, Expedia).
Channel Manager, Booking Engine, PMS: Core components of our Platform.

2. Eligibility

  • Be 18 or older.
  • Provide accurate and complete information.
  • Be authorized to use any third-party data you provide.
  • Comply with local, regional, and national property rental laws.
  • Not be barred from using software services.

3. Account and Licensing

  • You are granted a non-transferable, non-exclusive, revocable license to use the Platform.
  • Keep your login credentials secure and notify us of unauthorized access.
  • We may suspend or delete accounts for security or policy violations.

4. Your Content

  • You retain all rights to your Content but grant us a global, royalty-free license to use and display it.
  • Content must comply with laws and not infringe intellectual property rights or contain harmful content.

5. Platform Use

  • Use the Platform according to the documentation and laws.
  • Do not reverse-engineer, scan, or use data mining.
  • Comply with third-party rules (e.g., Airbnb API terms).
  • Follow local regulations (e.g., short-term rental rules, languages for GDPR areas).
  • Honor booking confirmations and rental agreements.

6. Booking Engine

  • Hosts must ensure accurate listing details, availability calendars, and pricing.
  • Cancellation policies must comply with applicable laws.
  • We are not a party to your booking agreements and are not responsible for a Guest’s or Host’s performance.

7. Fees and Payment

  • Use of the Platform may involve subscription fees or transaction-based fees, as defined in your plan.
  • You authorise us to charge your payment method.
  • You are responsible for any taxes from your use of the Platform.
  • We may change fees with 30 days’ notice; continued use means acceptance of changes.

8. Term, Suspension, Termination

  • Begins upon acceptance and continues until terminated.
  • We may suspend or terminate for:
    • Breach of Terms
    • Fraud, misconduct, or illegal activity
    • Non-payment
  • You may terminate anytime by closing your account. Obligations including payment and license grants survive termination.

9. Support & SLA

  • Standard support included; premium support subject to your plan.
  • We will use reasonable efforts to maintain the Platform’s availability but cannot guarantee uptime.
  • In case of outages, we will restore service promptly.

10. Proprietary Rights

  • We own the Platform, trademarks, and software—not your uploaded Content.
  • You receive no rights in our trademarks, software, or APIs, except your granted license.

11. Third-Party Services

  • You may connect OTAs, payment providers, verification services, or analytics tools.
  • Use of those services is subject to their own terms.
  • We are not responsible for any third-party functionality or service failures.

12. Limitation of Liability

  • Neither party shall be liable for indirect, incidental, punitive, or special damages.
  • Our total liability to you is capped at the total fees you paid over the 12 months before a claim.
  • This limitation applies to all legal theories except where prohibited by law.

13. Indemnification

  • You agree to indemnify and hold harmless EZBZ Rentals and its affiliates from any liability, damages, or expenses resulting from:
    • Your breach of these Terms
    • Violation of law by you, your property, or your users
    • Claims due to your Content

14. Data Protection

  • Your use is governed by our Privacy Policy, which complies with GDPR and other data laws.
  • By using the Platform, you agree to our processing and data transfer practices.

15. Compliance with Laws

  • You are responsible for complying with any laws in your jurisdiction, including tax, consumer, and rental regulations.
  • You should review appropriate municipal or national legislation before listing properties.

16. Modifications

  • We may update these Terms; material changes will be communicated 30 days in advance.
  • Continued use after changes implies acceptance.

17. Governing Law & Jurisdiction

  • These Terms are governed by the laws of Massachusetts, United States, without conflict of laws principles.
  • Any disputes must be brought in a federal or state court located in Massachusetts.

18. Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any Order Forms, constitute the entire agreement between the parties, superseding all prior understandings.
